Terms of Service
These Terms of Service (“Terms”) govern your access to and use of Past Briefly, including our websites, applications, software, features, and related services (collectively, the “Service”).
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Past Briefly operates three surfaces: (a) a public website of short-form historical documentaries and related character pages, (b) internal studio tools for authorized members to develop, structure, write, edit, and distribute those works, including through artificial intelligence-powered features, and (c) Rivington, a household concierge service for paying member households, which is a product of Past Briefly, LLC. The Service includes Rivington, and these Terms apply to it, including the text messaging terms in section 22 and the membership terms in section 23.
You are responsible for the creative decisions you make and for reviewing any content generated, suggested, or modified through the Service.
We may add, remove, modify, or discontinue features of the Service from time to time.
2. Eligibility
You must be at least 13 years old to use the Service, except that you must be 18 or older to be a Rivington member or to receive Rivington text messages. If you are under the age of majority where you live, you may only use the Service with the consent of a parent or legal guardian.
You may not use the Service if doing so would violate applicable law.
3. Accounts
You may need to create an account to use certain features.
You are responsible for maintaining the confidentiality of your account credentials and for activity occurring under your account. You agree to provide accurate information and promptly notify us if you believe your account has been compromised.
You may not sell, transfer, or share your account in a manner that violates these Terms.
4. Your Content
“Your Content” means scripts, ideas, outlines, characters, scenes, prompts, files, notes, messages, and other material that you submit to or create through the Service.
As between you and Past Briefly, you retain ownership of Your Content.
You grant Past Briefly a limited, worldwide, non-exclusive license to host, store, reproduce, process, transmit, display, and otherwise use Your Content solely as necessary to operate, maintain, secure, and improve the Service and provide its features to you.
This license does not transfer ownership of Your Content to Past Briefly.
You represent that you have the rights necessary to submit Your Content and that our processing of Your Content as contemplated by these Terms will not violate the rights of another person.
5. AI-Generated Content
The Service may use artificial intelligence to generate text, ideas, recommendations, outlines, characters, scenes, dialogue, screenplay pages, images, motion, voice, captions, packaging copy, and other material (“AI Output”).
AI Output may be inaccurate, incomplete, repetitive, offensive, similar to content generated for other users, or otherwise unsuitable for your intended purpose.
You are responsible for reviewing AI Output before using, publishing, submitting, selling, or otherwise relying on it.
To the extent permitted by applicable law, Past Briefly does not claim ownership of AI Output generated for you. However, we cannot guarantee that AI Output is unique or that intellectual property rights will attach to any particular AI-generated material.
You are responsible for determining whether your use of AI Output complies with applicable laws, contractual obligations, guild requirements, platform policies, intellectual property rights, and other restrictions.
5A. Content & AI Disclosure (public site)
Public pages may present short historical documentaries and character summaries. Visuals and narration may be AI-assisted reconstructions based on documented history. They are illustrative, not archival footage, and are not a substitute for primary sources, scholarly citation, or legal advice.
Depictions of historical figures are reconstructions for documentary storytelling — not authentic photographs or recordings of those persons, and not endorsements or authorized biographies.
Official embeds and “Watch elsewhere” links open third-party services (including TikTok, YouTube, Instagram, X, and Facebook). Past Briefly does not control their ads, recommendations, or cookie practices and is not affiliated with those platforms beyond ordinary use of their public APIs and embed tools.
Rights, likeness, or deletion requests: hq@pastbriefly.com.
6. Acceptable Use
You may not use the Service to:
- violate any law or regulation;
- infringe intellectual property, privacy, publicity, or other rights;
- upload content you do not have the right to use;
- distribute malware or malicious code;
- interfere with or disrupt the Service;
- attempt to gain unauthorized access to the Service or another user’s account;
- reverse engineer or circumvent technical restrictions except where applicable law expressly permits it;
- use automated systems to excessively scrape, extract, or overload the Service;
- impersonate another person or misrepresent your affiliation with another person or organization; or
- use the Service for fraudulent, abusive, or unlawful activity.
We may suspend or terminate accounts that violate these Terms.
7. Internal Studio Use
The Past Briefly studio tools are for internal production and are not offered as a consumer subscription product; the studio tools do not sell plans, credits, or paid upgrades. Rivington is separate: it is a paid household concierge membership, and its fees and billing are governed by the terms presented to you when you join.
8. AI Usage
The Service uses artificial intelligence to help develop historical-documentary subjects, outlines, and episode scripts.
We may take reasonable measures to prevent excessive, abusive, automated, or unintended use of AI functionality.
9. Third-Party Services
The Service may rely on third-party providers, including hosting providers, payment processors, analytics providers, communications providers, and artificial intelligence model providers.
Your Content may be transmitted to third-party providers when necessary to provide features you request.
We are not responsible for third-party products or services that are outside our control.
10. Intellectual Property
Except for Your Content, Past Briefly and its licensors own all rights in the Service, including its software, design, trademarks, logos, interfaces, and other proprietary materials.
These Terms give you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose. They do not grant you ownership of Past Briefly intellectual property.
11. Feedback
If you provide ideas, suggestions, or feedback regarding Past Briefly, you grant us the right to use that feedback without restriction or compensation to you.
This does not give us ownership of your screenplay, story ideas, or other creative content merely because you discuss them through the Service.
12. Confidentiality of Creative Work
We understand that users may use Past Briefly to develop unpublished creative work.
We do not obtain ownership of your unpublished projects by virtue of providing the Service. Our access to and processing of Your Content is governed by these Terms and our Privacy Policy.
However, no internet service can guarantee absolute confidentiality or security. You should use appropriate judgment before submitting exceptionally sensitive or legally privileged information.
13. Copyright Complaints
If you believe material available through the Service infringes your copyright, you may contact us at:
hq@pastbriefly.com
Please provide sufficient information to identify the copyrighted work, the allegedly infringing material, your contact information, and any other information required by applicable copyright law.
14. Termination
You may stop using the Service at any time.
We may suspend or terminate your access if you violate these Terms, create legal or security risk, fail to pay applicable fees, abuse the Service, or if continuing to provide the Service is no longer commercially or technically reasonable.
Where appropriate, we may provide notice before termination.
15. Data Export and Deletion
We may provide tools that allow you to export or delete certain projects or account information.
Following account deletion, we may retain limited information where reasonably necessary for security, fraud prevention, legal compliance, dispute resolution, backup integrity, or other legitimate purposes described in our Privacy Policy.
You should maintain your own copies of important creative work.
16. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAST BRIEFLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT AI OUTPUT WILL BE ACCURATE, ORIGINAL, COPYRIGHTABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAST BRIEFLY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, CREATIVE WORK, OR BUSINESS OPPORTUNITIES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- (A) THE AMOUNT YOU PAID TO PAST BRIEFLY DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
- (B) $100.
Some jurisdictions do not permit certain liability limitations, so portions of this section may not apply to you.
18. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Past Briefly and its affiliates, officers, employees, and contractors from claims, liabilities, damages, losses, and expenses arising from your unlawful use of the Service, your violation of these Terms, or Your Content.
19. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles.
Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in New York County, New York, unless applicable law requires otherwise.
20. Changes to These Terms
We may update these Terms from time to time.
If we make material changes, we may provide notice through the Service, by email, or through another reasonable method.
Your continued use of the Service after revised Terms become effective constitutes acceptance of the revised Terms.
21. General
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
Our failure to enforce a provision does not waive our right to enforce it later.
You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, restructuring, financing, or sale of assets.
These Terms, together with our Privacy Policy and any additional terms presented to you, constitute the agreement between you and Past Briefly regarding the Service.
22. Rivington Text Messaging (SMS) Terms
Effective November 5, 2026. Rivington is a household concierge service and a product of Past Briefly, LLC, a Delaware limited liability company operating in New York City. These SMS terms apply to the Rivington text messaging program, “Rivington by Past Briefly.” Program details are at https://rivington.ai/sms.
1. Program. The Rivington text messaging program (“Rivington by Past Briefly”) sends customer care and account notification texts to paying member households about their membership: replies to requests you send us, confirmations, reminders, approval requests, your weekly brief, and billing and account notices. We do not send marketing or promotional texts.
2. Opting in. You opt in by checking the optional, unchecked SMS box on the Rivington onboarding page and providing your own mobile number. Each adult opts in for their own number only. Joining the waitlist (email only) does not opt you in.
3. Consent is not a condition of purchase. You do not have to agree to texts to buy or use Rivington. Without texts, your membership works by email.
4. Frequency. Message frequency varies. Typically a few messages per week, more when you are actively asking us to handle tasks.
5. Cost. Msg & data rates may apply. Check your mobile plan. We do not charge for texts.
6. Opting out. Reply STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, QUIT, REVOKE or OPTOUT at any time. We also honor any other reasonable request to stop, by text or by email to hq@pastbriefly.com. You will receive one confirmation text and no further texts unless you opt back in. Texting STOP or CANCEL stops text messages only. It does not cancel your membership or billing; to cancel your membership, email hq@pastbriefly.com. After opting out, we will continue to reach you by email.
7. Help. Reply HELP or INFO for help, or email hq@pastbriefly.com.
8. Opting back in. Reply START or UNSTOP to resume texts.
9. Auto-replies. These are the exact responses:
- STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, QUIT, REVOKE, OPTOUT: “Rivington by Past Briefly: You're unsubscribed and will get no more texts. Membership is unchanged. Reply START to resubscribe. Help: [email protected]”
- HELP, INFO: “Rivington by Past Briefly (Past Briefly, LLC): member texts. Msg freq varies. Msg & data rates may apply. Help: [email protected]. Reply STOP to cancel.”
- START, UNSTOP: “Rivington by Past Briefly: You're resubscribed to member texts. Msg freq varies. Msg & data rates may apply. Reply HELP for help, STOP to cancel.”
10. Carriers. Carriers are not liable for delayed or undelivered messages. Delivery depends on your carrier and device.
11. Eligibility and your number. You must be 18 or older and the account holder or authorized user of the mobile number. Tell us promptly if you change or give up your number so texts don't reach someone else.
12. Privacy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Mobile opt-in data and consent will not be shared with or sold to any third parties, affiliates or lead generators. See our Privacy Policy. Program details: https://rivington.ai/sms.
13. Changes. We may change these SMS terms by posting an update here; we will text opted-in members about material changes.
14. Support. Questions about these SMS terms: hq@pastbriefly.com.
23. Rivington Membership Terms
Effective November 6, 2026. This section applies to Rivington, the household concierge membership from Past Briefly, LLC. Where it differs from sections 1 to 21, this section controls for Rivington. Texting is covered by section 22.
23.1 What Rivington does
Rivington is a concierge for your household. You and the other adults in your household (each a “client”) send requests by email or text, and Rivington handles them: booking, buying, coordinating, keeping watch for openings, suggesting, resolving problems and sending briefs. Rivington uses software, including artificial intelligence, and a person from our team steps in whenever the software gets stuck. Membership is by invitation only.
23.2 Acting for you
You authorize Past Briefly to act as your agent for the tasks you ask for or approve: to contact businesses, make and change reservations and bookings, and buy goods and services in your name. We ask for your approval before any purchase, and before any commitment we can’t undo, unless it falls within a spending limit you have set with us. A reply of “YES” to an approval request, by email or text, is your approval. We may decline a request that is unlawful, unsafe, outside what Rivington offers, or that we can’t do reliably, and we’ll tell you when we do.
Please check the details we confirm back to you (names, dates, times, amounts, addresses). You are responsible for the information you give us and for requests made from your email address or phone number.
23.3 Independent providers
Restaurants, merchants, venues, service providers and other businesses that Rivington books or buys from are independent third parties. They are not our employees, contractors or agents, and we don’t control their goods, services, prices, policies or conduct. Their own terms, including cancellation, refund and no-show policies, apply to what you book or buy from them. We don’t guarantee availability or any outcome. If something goes wrong with a provider, we’ll help you resolve it.
23.4 Fees, automatic renewal and purchases
Membership costs $100 a month per household. There is no trial. Your membership renews automatically each month, and we charge the card you gave at sign-up on the day you join and on the same date each month until you cancel. We will tell you at least 30 days before any change to the price, and you can cancel before it takes effect.
Purchases made for you are billed back to you at cost, with no markup. Before a purchase we place a hold on your card for the amount you approved. The merchant is paid with a single-use virtual card issued by Past Briefly, limited to that amount and that kind of merchant, and we then charge your card for the actual cost, never more than you approved. Card details are handled by our payment processor, Stripe; we never store or show your card number.
23.5 When we make a mistake
If we get something wrong, we apologize within 15 minutes of noticing. Depending on the mistake, we may also credit your membership: $25 off for a missed task, or a free month ($100) for a mistake that cost you an important moment. Credits apply to your next membership payments, have no cash value and end when your membership ends.
23.6 Cancelling
You can cancel at any time, with no questions asked: reply “cancel my membership” to any Rivington email or text, or email hq@pastbriefly.com. (Texting STOP or CANCEL by itself stops text messages only; see section 22.) Cancelling stops all future charges. Your membership continues to the end of the month you have already paid for, and that month is not refunded. We email you a confirmation with a link to export your household’s data, and an optional three-question survey. We delete your household’s data 30 days after your last day, unless you come back before then. Records we must keep by law (such as payment and texting-consent records) and the tamper-evident action log are kept as described in our Privacy Policy, with personal details removed where we can.
We may end a membership if these Terms are broken, a payment fails and isn’t fixed, or the service is misused, and we’ll tell you why. If we end a membership for any other reason, we refund the unused part of the current month.
23.7 Phone calls
Rivington may call businesses for you using an automated voice assistant. It says at the start of every call that it is an automated assistant calling for a client and that the call is recorded and transcribed, and it calls business phone lines only.
23.8 Limitation of liability for Rivington
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAST BRIEFLY IS NOT LIABLE FOR THE ACTS, OMISSIONS, GOODS OR SERVICES OF INDEPENDENT PROVIDERS, OR FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO RIVINGTON WILL NOT EXCEED THE GREATER OF (A) THE MEMBERSHIP FEES YOU PAID IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, PLUS THE COST OF ANY PURCHASE WE MADE IN ERROR; OR (B) $100. Nothing in these Terms limits liability that cannot be limited by law.
